Moray & Agnew congratulates Curae Health Group on the successful completion of its acquisition of OMNI Dental and its related Aesthetic Solutions Dental business.
The Moray & Agnew team was led by Eric Ho (Special Counsel), who was supported by Emilie van Baalen (Lawyer) and also assisted by Cristian Apolloni (Senior Associate) and Bronson Smorgon (Paralegal). Julie Ngan (Special Counsel) acted in relation to the acquisition financing and related security arrangements.
Headquartered in Melbourne, Curae Health Group is a leading dental services provider specialising in providing midstream services in connection with custom-made prostheses and dental radiology. OMNI Dental is a Perth based laboratory business focussing on the same and provides proprietary end-to-end digital implant technology, with substantially all of its revenue derived from its Western Australian client base.
The acquisition is expected to enable Curae Health Group to expand its product offering to other locations across Australia, including Western Australia, and integrate OMNI Dental’s end-to-end digital implant technology with Curae Health Group’s existing customer base across the Australian eastern seaboard.
The acquisition was for a total purchase price in excess of $15 million, which will be satisfied by a combination of upfront cash, deferred consideration and the issue of scrip in Curae Health to OMNI Dental shareholders.
Special Counsel Eric Ho commented “We thank Curae Health Group for the opportunity to assist in this transaction. It has been a pleasure to work with the founders, management and other key stakeholders along the way”.
He adds “This acquisition is a great result for the Curae Health team and facilitates the development of their strong business and brand. The transaction timeline and evolving circumstances gave rise to challenges for which we were able to guide the parties towards solutions. We look forward to assisting Curae Health Group with the ongoing implementation of its corporate strategy.”
